Public Offer

Terms of sale of goods via the YOCO mobile application

Version 1.0. Effective from 5 August 2026.
Current version: https://admin.yocoge.com/legal

1. General provisions

1.1. This document is a public offer of LLC "Your Coffee" (შპს „იოურ კოფე“), identification number 400345015 (the "Company" or the "Trader"), within the meaning of Articles 327–330 of the Civil Code of Georgia.

1.2. The Offer sets out the terms on which a contract of sale is concluded and performed between the Company and an individual (the "Customer") where the order and the payment are made through the YOCO mobile application (the "App").

1.3. Acceptance of the Offer concludes a contract of sale between the Customer and the Company on the terms set out herein. No separate written document is required.

1.4. The Offer is drawn up in the state language of Georgia in accordance with Article 5(1) of the Law of Georgia on Protection of Consumer Rights. The English and Russian texts are provided for the Customer's convenience. In the event of any discrepancy between the language versions, the Georgian version prevails.

1.5. The Offer is governed by the legislation of Georgia, including the Civil Code of Georgia, the Laws of Georgia on Protection of Consumer Rights, on Personal Data Protection and on Electronic Document and Electronic Trusted Services, and the Tax Code of Georgia.

2. Definitions

2.1. App — the Company's YOCO mobile application for iOS and Android.

2.2. Point of sale — the Company's self-service store or self-service terminal where the Company ordinarily carries out its commercial activity (business premises, სარეწი, within the meaning of Article 4(k) of the Law of Georgia on Protection of Consumer Rights).

2.3. Goods — food products and everyday consumer goods placed at a point of sale.

2.4. Order — the list of Goods compiled by the Customer in the App, for which the Company's server has issued the final amount payable.

2.5. Payment provider — Flitt, the payment service provider processing card payments.

2.6. Electronic receipt — the document confirming a completed Order, available in the App, bearing a unique number and a QR code.

3. Subject matter

3.1. The Company sells Goods at retail at its own points of sale. The Company's merchant category code under the international card schemes is MCC 5499 (Miscellaneous Food Stores — Convenience Stores, Markets).

3.2. The App is a means of selecting Goods and paying for them. Its shopping functionality is available only while the Customer is physically present at a point of sale and has passed the location check (GPS check-in).

3.3. The Company does not carry out distance supply, courier delivery or shipment of Goods through the App. Goods are handed over to the Customer on the spot, at the point of sale.

3.4. Digital content, subscription services, financial or insurance products are not sold through the App.

4. Acceptance of the Offer

4.1. Acceptance of the Offer is the Customer's pressing of the "Pay" button in the App and initiating payment for the Order.

4.2. Acceptance means that the Customer fully and unconditionally agrees to all terms of the Offer.

4.3. Acceptance given in electronic form has the same legal force as the written form, in accordance with the Law of Georgia on Electronic Document and Electronic Trusted Services.

4.4. By accepting the Offer the Customer confirms that they are an individual of at least 18 years of age with full legal capacity, acting for personal consumption purposes.

5. Registration and the Customer account

5.1. Use of the App requires registration with a mobile phone number. Identification is performed by a one-time code (OTP) sent to that number.

5.2. The Customer must provide accurate data and keep their phone number and device secure. All actions performed from the account are deemed performed by the Customer unless the contrary is established.

5.3. Transferring the account to a third party is not permitted.

5.4. The Customer may delete the account at any time from the App settings or by contacting the Company. Deletion does not affect transactions already performed and does not release either party from obligations that have arisen.

6. Order and conclusion of the contract

6.1. At a point of sale the Customer scans the barcode of the Goods and builds a basket.

6.2. The amount shown in the basket is a preview. The binding and final amount is the one confirmed by the Company's server when the Order is created and displayed on the payment page.

6.3. The contract of sale is deemed concluded at the moment the Company receives confirmation of a successful payment from the payment provider and the Order acquires the status "completed".

6.4. The Company may decline to perform an Order if the Goods are out of stock, a technical error in the price or barcode is detected, or there are reasonable grounds to suspect a breach of this Offer. In such a case the amount paid is refunded to the Customer in full.

7. Price and payment

7.1. All prices are stated in the national currency of Georgia — Georgian Lari (GEL) — and constitute the selling price inclusive of value added tax and other taxes.

7.2. Prices may differ between points of sale. The price applicable is that of the point of sale at which the Customer has checked in. The price is fixed at the moment the Order is created.

7.3. Payment is made by bank card on the secure page of the payment provider, using 3-D Secure authentication.

7.4. The Company does not receive, process or store card data. Such data is processed directly by the payment provider and the bank in accordance with the security standards of the international card schemes (PCI DSS).

7.5. The Customer's bank may additionally charge a currency conversion or cross-border transaction fee. Such fees are not received by the Company and are outside the Company's control.

7.6. If funds have been debited but the Order has not acquired the status "completed", the amount is refunded in full automatically, without any further request from the Customer.

7.7. An electronic receipt is made available in the App for every completed Order. Tax documents are issued in accordance with the Tax Code of Georgia.

8. Handover of the Goods

8.1. The Goods are deemed handed over and title passes to the Customer from the moment payment for the Order is confirmed, as the Goods are already in the Customer's physical possession.

8.2. When leaving the point of sale, the Customer shall present the electronic receipt or QR code at the request of a Company employee.

8.3. Before taking the Goods, the Customer shall check their expiry date and the integrity of the packaging.

9. Right of withdrawal

9.1. A purchase through the App is made while the Customer is physically present at the point of sale (business premises), selecting the Goods on the spot and taking possession of them immediately. Accordingly, such a contract is neither a distance contract nor an off-premises contract within the meaning of Article 4(d) and Article 4(l) of the Law of Georgia on Protection of Consumer Rights, and the right to withdraw from the contract within 14 calendar days without giving any reason, established by Article 13 of that Law, does not apply to it.

9.2. In addition, under Article 14(2)(d) and 14(2)(e) of the same Law, the right of withdrawal does not apply to goods that are perishable or have a short shelf life, nor to sealed goods whose seal has been broken after delivery and which cannot be returned for reasons of health protection or hygiene.

9.3. Voluntary offer by the Company. Notwithstanding the absence of a statutory obligation, the Company will take back non-food Goods of proper quality on the day of purchase, at the same point of sale, provided the Goods have not been used, their presentation and packaging are intact, and the electronic receipt is presented. This offer does not extend to food products or hygiene items.

9.4. Nothing in this Article limits the Customer's rights in respect of defective Goods (Article 10).

10. Quality of the Goods, defects and refunds

10.1. The Company shall deliver Goods conforming to the terms of the contract (Article 16 of the Law of Georgia on Protection of Consumer Rights).

10.2. Where Goods turn out to be defective, the Customer is entitled, under Article 17 of that Law, to require that the defect be remedied — free-of-charge replacement or repair of the Goods, or a reduction of the price — or to withdraw from the contract and obtain a refund of the amount paid.

10.3. The Customer may exercise these rights if the defect becomes apparent within 2 years of the Goods being handed over. If the defect is discovered within 6 months, it is presumed to have existed at the time of handover and the burden of proof lies with the Company (Article 20 of that Law).

10.4. A claim is submitted at the point of sale or by email, quoting the electronic receipt. The Company will consider the claim and inform the Customer of its decision no later than 10 (ten) business days.

10.5. Refunds are made to the same card used for payment. The Company initiates the refund within 5 (five) business days of upholding the claim. The time for the funds to appear on the card depends on the issuing bank and normally does not exceed 30 calendar days.

10.6. No provision of this Offer limits or excludes any right that the Customer has under the legislation of Georgia. Any such restrictive term is void under Article 22 of the Law of Georgia on Protection of Consumer Rights.

11. Loyalty programme

11.1. The Company may offer the Customer a loyalty programme: discounts, tiers, points, coupons and promotions.

11.2. Points and bonuses are not money, electronic money or a means of payment. They cannot be cashed out, transferred to another person or inherited, and may be used only on the terms of the programme.

11.3. Discounts are applied automatically when the Order is created. Where several discounts could apply at once, the one most favourable to the Customer is applied.

11.4. The Company may change or discontinue the programme with prior notice in the App. Such a change does not affect benefits already accrued and still valid.

11.5. The Company may cancel bonuses and restrict access to the programme in case of abuse of its terms, including the creation of fictitious accounts.

12. Restrictions and prohibited conduct

12.1. Age-restricted goods are not sold through the App — alcoholic beverages, tobacco and nicotine-containing products, and energy drinks. Such goods are blocked in the App and may be purchased only through a Company employee, subject to the age restrictions established by the legislation of Georgia.

12.2. The Customer must not: resell purchased Goods for commercial purposes; interfere with the operation of the App or the retail equipment; falsify barcodes, prices or Order data; use several accounts simultaneously in order to obtain promotional benefits; or take any action aimed at obtaining Goods without payment.

12.3. In case of breach of this Article, the Company may suspend or terminate the Customer's access to the App and refer the matter to the competent authorities.

13. Personal data

13.1. The data controller is LLC "Your Coffee" (ID 400345015).

13.2. Data processed: mobile phone number; App and device identifiers; location data at the moment of check-in; Order and receipt data; loyalty programme data; the history of communications with the Company.

13.3. The Company does not process bank card data. The card number, expiry date and security code are not accessible to the Company.

13.4. Location data is processed only at the moment of check-in at a point of sale, to confirm the Customer's presence there. The App does not carry out continuous tracking of the Customer.

13.5. The legal bases for processing are set out in Article 5 of the Law of Georgia on Personal Data Protection: performance of the contract; compliance with the Company's legal obligations (including tax obligations); the Company's legitimate interests (security and fraud prevention); and, for marketing communications, the Customer's consent.

13.6. Direct marketing (SMS, push notifications, information about promotions) is carried out only with the Customer's consent, in accordance with Article 12 of that Law. The Customer may withdraw consent at any time, without giving reasons, in the App settings or by contacting the Company. The Company shall cease direct marketing within 7 business days of receiving the request.

13.7. The Customer has the right to: receive information about the processing (Article 13); access the data and obtain a copy of it (Article 14); request rectification and updating (Article 15); request that processing cease and that the data be erased or destroyed (Articles 16 and 17); and withdraw consent (Article 20).

13.8. Data is retained until the purpose is achieved; transaction and tax-document data is retained for the period required by the tax legislation of Georgia.

13.9. In the event of an incident, the Company notifies the supervisory authority within the 72-hour period established by Article 29 of that Law.

13.10. The Customer has the right to apply to the supervisory authority — the State Audit Office of Georgia, which since 2 March 2026 exercises the functions of the former Personal Data Protection Service — or to a court.

13.11. Any data-related request should be sent to: support@yocoge.com.

14. Liability

14.1. The parties are liable for non-performance of their obligations in accordance with the legislation of Georgia.

14.2. The Company is not liable for damage caused by the Customer's breach of the storage and use rules for the Goods, by consumption of Goods after their expiry date, or by faults on the side of the Customer's device, internet connection or bank.

14.3. The Company is not liable for the acts of the payment provider and of banks within their own sphere of competence.

14.4. The limitations in this Article do not apply to damage caused by the Company's intent or gross negligence, nor to damage to life or health.

15. Force majeure

15.1. The parties are released from liability for non-performance where it is caused by force majeure: natural disaster, hostilities, acts of public authorities, or prolonged failure of electricity or communication networks.

16. Complaints and dispute resolution

16.1. Complaints are sent by email to support@yocoge.com or submitted at the point of sale. The Company responds no later than 10 (ten) business days.

16.2. The Customer has the right to apply to the LEPL Georgian National Competition and Consumer Protection Agency (Article 28 of the Law of Georgia on Protection of Consumer Rights; www.gcca.gov.ge). The time limit for applying to the Agency is no later than 2 years from the date of the violation (Article 31 of that Law).

16.3. Applying to the Agency does not limit the Customer's right to go to court or arbitration, or to use mediation.

16.4. A dispute not resolved by negotiation is heard by the courts of Georgia in accordance with the legislation of Georgia.

17. Amendments to the Offer

17.1. The Company may amend the Offer unilaterally by publishing the current version at https://admin.yocoge.com/legal.

17.2. An amendment takes effect from the moment of publication and does not apply to contracts already concluded and performed.

17.3. A given contract is governed by the version in force at the moment the corresponding Order was accepted.

18. Final provisions

18.1. Invalidity of any provision of the Offer does not render the remaining provisions invalid.

18.2. The contract is governed by the law of Georgia.

18.3. Where a provision of the Offer is open to more than one interpretation, it is interpreted in favour of the Customer.
